Terms of Use and License Agreement

GDP Audio LLC

These terms apply when you download, install or use any GDP Audio plugin or other GDP Audio software (the "Software"), and when you use gdpaudio.com. By installing or using the Software you agree to them. If you don't agree, please don't install or use the Software.

1. Your license

The Software is licensed, not sold. When you buy a license, GDP Audio LLC ("GDP Audio", "we") grants you a personal, non-exclusive, non-transferable license to install and use that product, for any purpose including commercial work, subject to these terms.

• Your computers: you may install the Software on all computers that you personally own or use — for example your studio desktop and your laptop. Licenses are not tied to a particular machine.

• One person: a license is for one person. Each additional person who uses the Software (for example, other engineers in a shared studio) needs their own license.

• Each product is separate: a license for one GDP Audio plugin does not unlock another.

2. What you create is yours

You own the music and audio you make with the Software. You may use, sell, release, broadcast and license your recordings, mixes, samples and productions without any fee or credit to GDP Audio.

3. Demo mode

You may use any GDP Audio plugin without a license, in demo mode, to evaluate it, for as long as you like. Demo mode is fully functional except for a brief, periodic burst of noise. Removing or bypassing that noise is not allowed (see section 4).

4. What you may not do

You may not:

• share, publish, sell or give away your license file, or let anyone else use it;

• copy or distribute the Software, except for your own backups;

• rent, lease or sublicense the Software;

• remove, disable or get around the license check or the demo-mode noise;

• reverse engineer, decompile or disassemble the Software, except to the extent the law expressly allows despite this restriction; or

• use the Software in breach of any law.

5. Purchases, updates and transfers

Purchases are processed by FastSpring, our authorized reseller, and are subject to FastSpring's terms of sale as well as our Refund Policy.

We may release updates and fixes from time to time. Updates within the same major version (for example 1.0 to 1.9) are free for license holders. We may charge for a future major version, but your existing version and license keep working.

Licenses can't be transferred to another person without our written approval. If you'd like to transfer a license, email us.

6. Ending the license

Your license lasts indefinitely unless it ends. It ends automatically if you break these terms, or if your purchase is refunded or charged back. When it ends you must stop using the licensed version and delete your license file.

7. Warranty disclaimer

We work hard to make the Software reliable, and we'll help if something goes wrong — but the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Software will be error-free, work without interruption, or work with every host, system or configuration. Please try the free demo to make sure it works for you before buying.

8. Limitation of liability

To the fullest extent the law allows, GDP Audio will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, lost recordings or lost work, arising from your use of or inability to use the Software, even if we've been told such damages are possible. Our total liability for any claim relating to the Software is limited to the amount you paid for the license concerned.

Some places don't allow these exclusions or limits, so they may not fully apply to you. Nothing in these terms limits rights you have under consumer protection laws that can't be excluded by contract.

9. Trademarks

GDP Audio and the names of our products are trademarks of GDP Audio LLC.

Some of our products are inspired by classic studio hardware. Any hardware, software, product or company names mentioned on our website, in our manuals or in our products are trademarks of their respective owners. They are used only to describe the character of a sound or for compatibility (for example, plugin formats and operating systems), and do not mean that GDP Audio is affiliated with, endorsed by or sponsored by those companies.

10. Our website

The content of gdpaudio.com — text, images, audio and design — belongs to GDP Audio or its licensors. You may view it and share links to it, but you may not copy or reuse it commercially without our permission. Our Privacy Policy explains how we handle information.

11. Changes to these terms

We may update these terms. The version posted on this page is the one that applies. Changes don't take away rights you already have under a license you bought before the change.

12. Governing law

These terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. Any dispute will be handled by the state or federal courts located in San Francisco County, California, unless the consumer protection law of your country gives you the right to bring proceedings where you live.

If any part of these terms is found unenforceable, the rest stays in effect. These terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and GDP Audio about the Software.
